PLEASE READ CAREFULLY ALL THE TERMS AND CONDITIONS OF THIS DIGITAL MARKETPLACE PARTICIPATION AGREEMENT AND THE PRIVACY POLICY. NO BUYER OR SELLER WILL BE PERMITTED TO USE THE WWW.CAR-RAC.COM WEBSITE UNLESS IT ACCEPTS THE TERMS OF THIS AGREEMENT. YOU HEREBY CERTIFY THAT YOU ARE AN AUTHORIZED REPRESENTATIVE OF THE BUYER OR SELLER OF A LICENSED AUTOMOTIVE DEALERSHIP. BY CLICKING THE “AGREE” BUTTON BELOW, YOU ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT ON BEHALF OF PARTICIPANT.

RichmondAA.com may change, restrict access to, suspend, or discontinue the Car-Rac website, or any portion of the RichmondAA.com website, at any time. Richmond Auto Auction reserves the right to deny use of the RichmondAA.com website, or any service or feature provided via the RichmondAA.com website, without prior notice to anyone who violates this Agreement or who, in our judgment, uses our website in an inappropriate manner, engages in unscrupulous commercial conduct, interferes with the ability of others to enjoy our website, or infringes the rights of others.

RichmondAA.com Websites

Richmond Auto Auctions provides a business-to-business online marketplace. Only representatives of licensed dealerships are eligible to participate. By using the Services, you represent and warrant that you are a licensed dealer of motor vehicles and are legally eligible to purchase or sell wholesale vehicles for resale. A state issued dealer’s license, applicable resale certificate(s), and federal tax identification are among the documents and information a dealership will need to provide to utilize the Services.

Registering to obtain access to the services and features of the CAR-RAC website, each representative of Participant will first need to register with RichmondAA.com. As part of the registration process, each representative will select a username and a password and must provide his or her valid Auction ACCESS individual identification number and AuctionACCESS dealership identification number, which we will authenticate with AutoTec, LLC, the provider of the AuctionACCESS dealer registration system. If you and your dealership are not registered with AuctionACCESS, you can register online at http://www.auctionaccess.com/auctionaccess/. If RichmondAA.com has reasonable grounds to suspect that information a representative provides as part of his registration is untrue, inaccurate, not current, or incomplete, RichmondAA.com has the right to suspend or terminate the representative’s account and refuse all current or future use of the www.car-rac.com website (or any portion thereof). Participant and its representatives are responsible for maintaining the confidentiality of passwords and account numbers, and Participant is responsible for all activities that occur under its account and the accounts of its representatives. If Participant discovers or suspects any unauthorized use of its account or any of its representatives’ accounts or any other breach of security, Contact Richmond Auto Auction @support@RichmondAA.com if you suspect your account as been compromised. Richmond Auto Auction is not responsible for any loss or damage arising from Participant’s failure, or the failure of Participant’s representatives, to protect or to keep password or account information confidential.

RichmondAA.com may change the terms of this Agreement from time to time. By continuing to use the RichmondAA.com website following RichmondAA.com notice to you of such changes, you agree to be bound by this Agreement, as modified. Utilizing the RichmondAA.com Websites

RichmondAA.com facilitates the exchange of vehicles where wholesale buyers and wholesale sellers can efficiently buy and sell vehicles. Each listing includes a vehicle identification number, description, seller disclosure(s) regarding vehicle condition, and a sale price. Sellers may offer vehicles for sale in both fixed price and Make an Offer format. RichmondAA.com does not take title to the vehicles listed for sale via the Services. Car-rac.com is neither the Buyer nor the Seller of the vehicles listed for sale. As a commercial party, you should research the condition and value of the vehicle and the terms of sale before bidding. RichmondAA.com is not a party to the vehicle sale contract, but is a third-party beneficiary of the contract, entitled to the parties’ performance and to seek legal remedies for the parties’ breach. You agree that any legal claims arising out of a transaction will be between you and the other party (either Buyer or Seller) in the transaction and not against RichmondAA.com or any RichmondAA.com partner.

By using RichmondAA.com you represent and warrant that you are a licensed dealer of motor vehicles and are legally eligible to purchase or sell wholesale vehicles for resale. Neither Participant nor any of Participant’s representatives may contact a buyer or seller to sell or purchase a vehicle listed on Car-Rac.com outside of RichmondAA.com. Repeated attempts to do so may result in termination of Sellers access to RichmondAA.com. Participant agrees that RichmondAA.com owns all rights in the RichmondAA.com website and in any information collected by RichmondAA.com or its vendors and/or licensees relating to users of the RIchmondAA.com website

Sellers

Seller is a licensed dealer of motor vehicles. Seller represents and is the true and lawful owner of each vehicle listed on RichmondAA.com, and that the same is free from all liens and encumbrances, Seller has the good right and full power to sell, transfer title to the same, and will warrant and defend the same against the lawful claims and demands of all persons whomsoever. Richmond Auto Auction retains a security interest in the vehicle and title until proper funds have been applied and balance paid off. The risk of loss for a vehicle remains with the Seller if the vehicle is at Seller’s premises. Once the Buyer retrieves the vehicle, or otherwise causes the vehicle to be removed from Seller’s premises, the risk of loss for the vehicle is transferred to the Buyer. The required odometer mileage statement pertaining to the vehicle and on the certificate of title is the true and lawful owner of the vehicle except as set forth in the vehicle’s announcements; the vehicle is free from all liens and encumbrances except as set forth in the vehicle’s announcements; A $500 cancellation fee will be assessed to a Seller if a transaction is cancelled or abandoned after a Buyer’s bid either meets the reserve or is otherwise accepted. Seller will hold and make the sold vehicle available on its lot for at least seven business days after the sale of the vehicle for the Buyer. Responsibility for the information contained in vehicle listings lies with each seller.

Seller agrees that Car.Rac.com may reject any vehicle listing in RichmondAA.com. Participant also agrees that positioning of listings is at RichmondAA.com discretion.

Buyer

Buyer is a licensed motor vehicle dealer in good standing. Buyer understands and agrees that it may not retract any bids to purchase a vehicle via RichmondAA.com without RichmondAA.com express written permission. The submission of a bid for a vehicle by (or on behalf of) Participant automatically becomes a legally binding contract to purchase the vehicle from the seller at the price and on the terms bid by (or on behalf of) Dealer. Vehicle purchased will be paid for in full the same day the vehicle is purchased. Once payment is received by RichmondAA.com a gate pass will be emailed to the buyer. Buyer will pick up the vehicle within seven business days. No stop payment of Buyer’s payment to RichmondAA.com shall be honors by RichmondAA.com and that any stop payment order shall be deemed by the parties to be evidence of fraud existing at the time the transaction was consummated and shall be construed by the parties as an intent to defraud to consummate the transaction. Buyer is responsible to pick up the vehicle and transportation of the purchased vehicle.

Vehicle title will not pass to Buyer until complete payment has been received by Richmond Auto Auction and the title has been received from the Seller. Richmond Auto Auction reserves the right to limit the number of vehicles purchased by a Buyer at any time. Buyer will not attempt to manipulate bids, intentionally bid up the price of any vehicle, or otherwise fraudulently bid on any vehicle.

Arbitration

Richmond Auto Auction and CAR-RAC abides by the National Auto Auction Association arbitration policy as a basis for investigating all claims that arise when there are questions about how a vehicle was represented during the sale process. Please visit NAAA arbitration policy here at NAAA Arbitration Policy. Arbitrations must be submitted within 10 calendar days. Repairs must be singularly $800 or more to repair or replace. Odometer reading must be 200 miles or less over the miles indicated at the time of purchase.

Vehicles sold with over 200 miles then the advertised listing will be subject to arbitration. The difference of MMR will be used to calculate an adjustment amount, Unless the miles are deemed excessive which in that case could result in a buyback.

In the event of a successful arbitration by the Buyer, the Seller is responsible for reimbursement of all reasonable documented expenses incurred by the Buyer on vehicles arbitrated for undisclosed conditions. Reimbursements that qualify under these guidelines will be at the sole discretion of the Auction and will be limited to the reasonable and documented expenses at auction (wholesale) repair cost.

Richmond Auto Auction Arbitration Policies, which may be amended by us from time to time when participating in any transactions at Richmond Auto Auction. All disputes arising in connection with the purchase or sale of a vehicle facilitated by Richmond Auto Auction will be resolved in accordance with the NAAA Arbitration Policies, and our decision as arbitrator will be final and binding upon you with respect to any such transaction.

Title Terms

The seller must ensure the vehicle is being offered for sale with a US title. All titles submitted by a seller must be in the seller’s company name on the title or on a properly executed reassignment form.

Seller warrants, represents, and guarantees possession and conveyance of a certificate of title, properly executed, valid in the state where the transaction is occurring and clear of all liens and encumbrances.

Seller will ensure that the title is reassigned directly to the buyer. Richmond Auto Auction is not the buyer of the vehicle and does not take title or possession of the vehicle, and therefore any title listing RichmondAA.com as the buyer will be returned to the seller to be corrected. Seller will ensure: The VIN is correct, Vehicle mileage listed on the front of the title is accurate, If there is a lien on the title, the required signature is on or included with the title, along with the original lien release, All reassignments are accurate and included. If a power of attorney form has not already been signed by the seller granting Richmond Auto Auction the right to complete the title as necessary to complete the sale, a signed power of attorney form is included with the title. All paperwork requiring a notary signature has been notarized.

Seller is required to deliver the title to Richmond Auto Auction within 2 calendar days from the sale of the vehicle. If, after 90 calendar days after the sale for the vehicle, seller has not produced negotiable title and Buyer has not returned the vehicle Richmond Auto Auction shall have no duty to produce the certificate of title to the buyer and shall have no duty to pay seller. Sellers will be responsible for refunding vehicle transportation expenses and any other fees and costs incurred by RichmondAA.com where a negotiable title could not be produced.

Payments

Payments for Vehicles must be made by the Buyer within 48 hours of purchasing of the vehicle. Although we retain the discretion to make appropriate exceptions, other third-party payments generally will not be accepted. Payments must be made in good funds and in a form acceptable to RichmondAA.com. RichmondAA.com reserves the right to change the forms and types of payment that are accepted by RichmondAA.com.

LIABILITY

Unless applicable law provides otherwise, under no circumstances will Richmond Auto Auction be liable to you for any consequential, special, incidental, indirect, punitive, exemplary, or similar damages, or damages for loss of business, or legal fees or costs, even if one or more of the Richmond Auto Auction are advised beforehand of the possibility of such damages. you agree that the aggregate liability of the Richmond Auto Auction parties, collectively, to you in connection with any claims or causes of action that you may assert, will in no event exceed the amount of fees paid by you to Richmond Auto Auction for the product(s) or service(s) at issue during the twelve month period immediately preceding the last event giving rise to the claim or cause of action being asserted. you further agree that any claims or causes of action that you assert against the Richmond Auto Auction parties must be filed or otherwise formally commenced in the relevant forum within twelve months of the last event giving rise to the claim or cause of action being asserted, or within the time remaining under the applicable statutes of limitation – whichever time period is shorter – and that any claims or causes of action not filed or commenced within such period will be forever barred.
